Copyright & Intellectual Property Policy

1. Overview

Nunmathi Technologies Private Limited ("Nunmathi," "we," "us," or"our") respects the intellectual property rights of others and expects all users of its platforms and services to do the same. This Copyright & Intellectual Property Policy ("Policy") describes:

• How copyright and intellectual property in Nunmathi's Services is owned and protected;
• The rights you retain over content you upload;
• How Nunmathi handles AI-generated content and intellectual property;
• Our open source obligations; and
• The process for submitting and responding to copyright infringement complaints.

This Policy is governed by the Copyright Act, 1957 (India), the Information Technology Act, 2000 (India), and internationally recognised principles including those enshrined in the Berne Convention and the WIPO Copyright Treaty. Nunmathi also follows a notice-and-takedown process inspired by the United States Digital Millennium Copyright Act (DMCA) as a best-practice framework for handling infringement claims globally.

2. Copyright Ownership

2.1 Nunmathi's Intellectual Property

All content, technology, software, code, algorithms, models, databases, designs, graphics, user interfaces, written text, documentation, trade secrets, and other materials created by or for Nunmathi and made available through our Services are the exclusive intellectual property of Nunmathi Technologies Private Limited, protected under:

• The Copyright Act, 1957 (India) and its amendments;
• The Patents Act, 1970 (India) and the Patents (Amendment) Act, 2005 (for any patented inventions);
• The Trade Marks Act, 1999 (India);
• International treaties including the Berne Convention and WTO TRIPS Agreement.

Unless expressly granted in writing, no right, title, or interest in Nunmathi's intellectual property is transferred to you by your use of the Services.

2.2 Limited Licence to Use

Subject to your compliance with our Terms of Service and this Policy, Nunmathi grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your internal business or personal purposes. This licence does not include the right to:

• Copy, reproduce, distribute, or publicly display Nunmathi's materials beyond what is necessary to use the Services;
• Create derivative works based on Nunmathi's proprietary technology or content;
• Reverse-engineer, decompile, or disassemble any software component of the Services;
• Sell, resell, license, sublicense, or commercially exploit any part of the Services without written consent.

3. Trademark Protection

The name "Nunmathi", the Nunmathi logo, product names, slogans, and any other marks used by Nunmathi Technologies Private Limited in connection with its Services are registered or unregistered trademarks of Nunmathi Technologies Private Limited, protected under the Trade Marks Act, 1999 (India) and applicable international trademark law.

You may not use Nunmathi's trademarks, trade names, logos, or brand features without our prior written consent, including in connection with:

• Any product, service, or business not operated by Nunmathi;
• Domain names, social media handles, or online identifiers;
• Advertising, promotional materials, or press releases;
• Any manner likely to cause confusion or to imply endorsement, affiliation, or sponsorship by Nunmathi.

4. User-Generated Content

4.1 Your Ownership

You retain ownership of all content, data, and materials that you upload, submit, transmit, or otherwise make available through the Services ("User Content"). You are solely responsible for ensuring that your User Content does not infringe the copyright, trademark, privacy, or other rights of any third party.

4.2 Licence You Grant Nunmathi

By uploading or submitting User Content, you grant Nunmathi a worldwide, non-exclusive, royalty-free licence to use, reproduce, process, adapt, and store that content solely for the purpose of providing, maintaining, and improving the Servicesyou have subscribed to. This licence does not grant Nunmathi the right to sell or commercially exploit your User Content independently.

4.3 Your Warranties

By submitting User Content, you represent and warrant that you have all necessary rights, licences, and permissions to upload such content and to grant Nunmathi the licence described above, and that the content does not violate any third-party intellectual property rights or applicable law.

5. AI-Generated Content & IP

5.1 Ownership of AI Outputs

Content generated by Nunmathi's AI features in response to your inputs is provided to you for use in accordance with our Terms of Service. Under current Indian law (Copyright Act, 1957), copyright requires human authorship; purely AI-generated works without meaningful human creative contribution may not attract copyright protection in India.

Where AI-generated outputs incorporate your creative inputs, instructions, and selections, the resulting work may qualify for copyright protection to the extent attributable to your human creativity. You are responsible for making this determination and for registering any copyright you wish to assert.

5.2 Nunmathi's Rights in AI Models

Nunmathi retains all intellectual property rights in its AI models, training pipelines, weights, architectures, and associated technologies. Your use of AI-powered features does not grant you any rights to the underlying models or methodologies.

5.3 No Guarantee of Uniqueness

AI outputs may produce similar or identical content for different users. Nunmathi makes no guarantee that any AI-generated output is unique or that its use will not conflict with the rights of third parties. You should independently verify that your intended use of AI-generated content does not infringe third-party intellectual property rights.

6. Open Source Components

Our Services may incorporate open source software components. Each such component is governed by its own licence (e.g., MIT, Apache 2.0, GPL). Nunmathi complies with all obligations under those licences, including attribution and source code availability requirements where applicable.

A list of material open source components and their licences is available upon written request to info@nunmathi.com. Use of the Services does not grant you any rights under open source licences beyond those that apply to your independent use of those components.

7. Copyright Complaint Process

If you believe that content available on or through Nunmathi's Services infringes your copyright or other intellectual property rights, you may submit a complaint to our designated Grievance Officer / Copyright Agent. Our process is modelled on the DMCA notice-and-takedown framework and is consistent with the intermediary liability provisions of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 under the IT Act, 2000.

Upon receipt of a valid copyright complaint, Nunmathi will:

• Acknowledge receipt within 24 hours (business days);
• Review the complaint and assess whether it is complete and valid;
• Take appropriate action (including removal or disabling access to the allegedly infringing content) within 36 hours of confirming the complaint is valid and complete, consistent with our obligations under the IT Rules 2021;
• Notify the user who uploaded the content that a copyright complaint has been received and action taken, except where prohibited by law;
• Process any counter-notice received in accordance with Section 9 below.

8. What to Include in a Notice

To be valid and actioned promptly, a copyright infringement notice must include all of the following information. Incomplete notices may result in delays or no action being taken.

9. Counter-Notice Process

If you believe that content you uploaded was removed or disabled by mistake, or that you have the right to use that content, you may submit a counter-notice to our Grievance Officer. A valid counter-notice must include:

• Your full name, address, telephone number, and email address;
• Identification of the material that was removed and its location before removal;
• A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification;
• A statement that you consent to the jurisdiction of the courts in Coimbatore, Tamil Nadu, India and that you will accept service of process from the person who provided the original complaint;
• Your physical or electronic signature.

Upon receipt of a valid counter-notice, Nunmathi will forward it to the original complainant. If the complainant does not take legal action within 14 business days of receiving the counter-notice, Nunmathi may restore the removed content at its discretion.

10. Repeat Infringer Policy

Nunmathi has a zero-tolerance policy towards repeat copyright infringement. In appropriate circumstances and at our sole discretion, we will terminate the accounts of users who are determined to be repeat infringers of intellectual property rights.

A "repeat infringer" is a user against whom Nunmathi has received multiple substantiated copyright infringement complaints, or who has been found by a court of competent jurisdiction to have infringed the intellectual property rights of others.

Termination under this policy does not limit Nunmathi's ability to pursue other legal remedies available under Indian law or applicable international law.

11. Permitted Use & Fair Use

Indian law recognises certain uses of copyrighted material that do not constitute infringement under Section 52 of the Copyright Act, 1957. These include (subject to the specific conditions of the Act):

• Fair dealing for the purposes of private or personal use, including research;
• Fair dealing for criticism or review, with acknowledgement of the source;
• Fair dealing for reporting of current events and affairs;
• Reproduction of short passages in educational publications;
• Use in judicial proceedings or reports of judicial proceedings.

Whether a particular use constitutes "fair dealing" under Indian law is a fact-specific determination. If you are uncertain whether your intended use is permitted, we recommend seeking legal advice or obtaining express written permission from the copyright holder.

Nunmathi does not grant users the right to claim fair use or fair dealing on Nunmathi's behalf. Any permitted use of Nunmathi's content must be in strict compliance with applicable law and must not damage Nunmathi's commercial interests or reputation.
